Terms of Service

Entity: Tomo Solutions Inc., a Delaware corporation (“Tomo”, “we”, “us”)

Product: Tomo application, tomosolutions.ai, and related services (the “Service”)

1. Agreement to terms

These Terms of Service (“Terms”) are a binding agreement between you and Tomo Solutions Inc. (“Tomo”, “we”, “us”), governing your access to and use of the Tomo application, tomosolutions.ai, and related services (the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization.

2. Definitions

  • “Customer Data” — data you submit to or authorize the Service to access, including data obtained from connected Google and Microsoft accounts.
  • “Connected Account” — a Google or Microsoft account you authorize Tomo to access via OAuth.
  • “AI Features” — features that use artificial intelligence to generate drafts or insights.

3. Eligibility and accounts

You must be at least 18 and capable of forming a binding contract. You are responsible for the security of your account credentials and for all activity under your account. You must provide accurate information and keep it current.

4. The Service

Tomo provides relationship-intelligence features for fund managers, including email and calendar analysis, relationship signals and metrics, reminders, meeting context, search, lists, workflows, and AI-assisted drafting. We may modify or improve the Service over time.

5. Third-party integrations (Google & Microsoft)

a. Your authorization

When you connect a Google or Microsoft account, you authorize Tomo to access the data covered by the scopes you approve, solely to provide the Service.

b. Compliance with provider terms

Tomo’s use of information received from Google APIs adheres to the Google API Services User Data Policy , including the Limited Use requirements. Tomo’s use of Microsoft Graph data adheres to the Microsoft APIs Terms of Use. Details of how we handle this data are in our Privacy Policy.

c. Your responsibilities

You are responsible for ensuring you have the right to connect the relevant accounts and to allow Tomo to process the associated data, and for complying with your own organization’s policies and applicable law.

d. Provider changes

Google and Microsoft may change or discontinue their APIs; we are not liable for resulting changes to the Service.

6. Acceptable use

You will not, and will not permit others to:

  • use the Service unlawfully or in violation of Google, Microsoft, or other provider terms;
  • access data you are not authorized to access, or attempt to breach tenant isolation or security controls;
  • reverse engineer, scrape, or overload the Service;
  • use the Service to send spam or unlawful communications; or
  • upload malware or infringe others’ rights.

7. Customer Data and privacy

As between you and Tomo, you retain all rights to Customer Data. You grant Tomo a limited license to process Customer Data solely to provide and secure the Service. Our processing of personal data is described in the Privacy Policy, which is incorporated into these Terms. We do not sell Customer Data and do not use Customer Data (including Google or Microsoft data) to train generalized or general-purpose AI models.

8. AI Features

AI Features generate draft content and insights for your review. All AI-generated communications are proposal-only and are never sent without your explicit, per-message approval. AI output may contain errors; you are responsible for reviewing it before acting. AI processing is performed on an enterprise configuration with no retention of your data for model training (see Privacy Policy, Section 6).

9. Intellectual property

The Service, including its software, design, and content (excluding Customer Data), is owned by Tomo and its licensors and is protected by intellectual-property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service. Feedback you provide may be used by us without obligation to you.

10. Fees

If the Service is offered on a paid basis, applicable fees, billing terms, and refund policy will be presented at purchase and form part of these Terms. Where the Service is provided at no charge, we may change or discontinue it at our discretion.

11. Confidentiality

Each party will protect the other’s confidential information with reasonable care and use it only to perform under these Terms.

12. Disclaimers

The Service is provided “as is” and “as available.” To the maximum extent permitted by law, Tomo disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Tomo does not warrant that the Service will be uninterrupted, error-free, or secure against all threats.

13. Limitation of liability

To the maximum extent permitted by law, Tomo will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or data. Tomo’s total aggregate liability arising out of or relating to the Service will not exceed the greater of the amounts you paid to Tomo in the 12 months before the claim, or USD 100.

14. Indemnification

You will indemnify and hold Tomo harmless from claims arising out of your Customer Data, your use of the Service in violation of these Terms or applicable law, or your violation of any third-party rights or provider terms.

15. Term, termination, and data deletion

These Terms apply while you use the Service. You may stop using and delete your account at any time ( Privacy Policy, Section 10). We may suspend or terminate access for material breach, legal requirement, or risk to the Service. On termination, we revoke Connected Account tokens and delete Customer Data in accordance with the Privacy Policy (including the 30-day deletion process).

16. Changes to these Terms

We may update these Terms from time to time. Material changes will be posted here with a revised effective date; continued use after changes take effect constitutes acceptance.

17. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules. The courts of the State of Delaware, USA will have exclusive jurisdiction, except where mandatory local law provides otherwise.

These Terms are designed to be consistent with the Google API Services User Data Policy (including Limited Use), the Microsoft APIs Terms of Use, and to support SOC 2 and data-protection obligations. They incorporate the Tomo Privacy Policy by reference.
